Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Hooklayer website, APIs, dashboard, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

Hooklayer provides a webhook reliability layer, including receiving inbound webhooks, verifying authenticity, storing events, delivering events to user-configured destinations, retries, replay functionality, and observability tooling. We may modify the Service from time to time, including adding or removing features.

2. Accounts and eligibility

You must provide accurate account information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. You must promptly notify us of any unauthorized use. You may not use the Service for unlawful purposes.

3. Customer data and event payloads

“Customer Data” means data, content, and information submitted to the Service, including webhook payloads and related metadata. You retain all rights to Customer Data. You grant Hooklayer a limited license to host, store, transmit, process, and display Customer Data solely to provide and improve the Service, prevent abuse, and comply with legal obligations.

You are responsible for ensuring you have the right to process and transmit Customer Data, including any personal data. You must not submit sensitive data unless necessary and appropriate safeguards are in place, and you should avoid including secrets (such as passwords, private keys, or access tokens) in webhook payloads.

4. Security and verification

The Service supports security measures such as signature verification and IP allowlisting. You are responsible for configuring verification correctly and for maintaining the confidentiality of secrets used to verify webhooks. No security system is perfect; you agree to use the Service in a manner consistent with reasonable security practices.

5. Acceptable use

You agree not to (a) interfere with or disrupt the Service; (b) attempt to gain unauthorized access to systems or data; (c) use the Service to transmit malware or harmful code; (d) use the Service to violate the rights of others; (e) use the Service for illegal, fraudulent, or abusive activities; or (f) reverse engineer or attempt to discover source code or underlying components except to the extent such restriction is prohibited by law.

6. Fees, billing, and taxes

Certain features may require payment. If you choose a paid plan, you agree to pay the fees and applicable taxes. Fees are typically billed in advance on a recurring basis. Unless required by law, fees are non-refundable. We may change pricing with notice, and changes will apply at the next renewal unless otherwise stated.

7. Service levels, retries, and delivery

The Service is designed to improve reliability, but delivery is not guaranteed in all circumstances. Delivery may fail due to misconfiguration, destination downtime, network issues, third-party outages, or other factors. Retries and replay are best-effort according to configured policies, retention windows, and technical constraints. You are responsible for building idempotent destination handlers to safely process repeated deliveries.

8. Retention and deletion

The Service stores events and delivery logs for a period based on your plan and settings (“Retention Period”). After the Retention Period, we may delete or anonymize stored events and logs. You may delete Customer Data through available features, subject to reasonable technical limitations and legal obligations.

9. Intellectual property

Hooklayer and its licensors retain all rights, title, and interest in and to the Service, including software, documentation, and trademarks. Except as expressly permitted, no rights are granted to you.

10. Confidentiality

Each party may receive confidential information from the other. Confidential information must be protected using reasonable care and used only for purposes of these Terms. Confidential information does not include information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party without confidentiality obligations.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you have violated these Terms, if your use creates security risk, if required by law, or if payment is overdue. Upon termination, your right to use the Service stops, and we may delete Customer Data after the applicable retention period.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKLAYER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HOOKLAYER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKLAYER’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO HOOKLAYER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU HAVE NOT PAID, ONE HUNDRED U.S. DOLLARS (US $100)).

14. Indemnification

You agree to indemnify and hold harmless Hooklayer and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable laws.

15. Governing law

These Terms are governed by the laws of the jurisdiction where Hooklayer is established, without regard to conflict of law rules. Any disputes will be brought in the courts of that jurisdiction, unless otherwise required by law.

16. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
